End User License Agreement
This End User License Agreement (“EULA”) is a legal agreement between you (“User” or “you”) and ANATOMYKA LLC (1111B S Governors Ave STE 21458, Dover, DE 19904, United States) (“Licensor”) governing your use of the Anatomyka ACADEMIC software, including ATLAS, ATLAS PRO EDU, ACADEMIC PRO and ACADEMIC PRO EDU versions (collectively, the “Software”). By downloading, installing, or using the Software, you agree to be bound by the terms of this EULA. If you do not agree, do not use the Software.
1. Definitions
- Software: Refers to Anatomyka ATLAS, ATLAS PRO EDU, ACADEMIC PRO and ACADEMIC PRO EDU, including all updates, enhancements, 3D models, ePosters, and associated content (e.g., Memorix Anatomy descriptions).
- Non-Commercial License: A license for personal use (e.g., self-study) granted for ATLAS and ACADEMIC PRO.
- Commercial License: A license for educational or professional use (e.g., classroom teaching, professional practice) granted for ATLAS PRO EDU and ACADEMIC PRO EDU.
- School Licenses: Licenses for educational institutions, including team licenses for Anatomyka ATLAS (for shared school devices) and individual student licenses for ATLAS.
- Anatomyka ePosters: Interactive 3D content provided by Licensor, including content based on Memorix Anatomy descriptions, protected by copyright and other intellectual property laws. These ePosters are displayed to all users of the Software and may not be modified, copied, or distributed without prior written consent from Licensor.
- User-Generated ePosters: Interactive 3D content created by users, divided into two categories:
Academic PRO EDU and ATLAS PRo EDU ePosters: Created under Commercial Licenses, which may be shared and published, subject to attribution to Anatomyka where feasible. You retain authorship rights, but grant Licensor a non-exclusive, royalty-free license to use, modify, or display them for Software improvement or promotion. Commercial resale or distribution requires prior written consent from Licensor (contact: info@anatomyka.com).
Student ePosters: Created under Non-Commercial or School Individual Licenses, stored locally for personal use only. Sharing, publishing, or distributing (including screenshots or videos) is expressly prohibited, and you retain authorship rights, but must not violate Licensor’s intellectual property. - User Modifications: Any modifications or custom content you create using the Software, such as edited 3D models or ePosters, remain your property, but Licensor grants itself a non-exclusive license to use such modifications for improving the Software or promotional purposes, provided they do not contain personal or sensitive information.
2. Grant of License
2.1 Non-Commercial License (ACADEMIC PRO): Licensor grants you a non-exclusive, non-transferable, revocable license to use the Software for personal, non-commercial purposes (e.g., self-study) on a single device, subject to the terms of this EULA. Licenses are available for 1 year (with auto-renewal) or 5 years (no renewal). ACADEMIC PRO includes a free Anatomyka ATLAS license and a 1-month Memorix Anatomy license.
2.2 Commercial License (ACADEMIC PRO EDU): Licensor grants you a non-exclusive, non-transferable, revocable license to use the Software for educational or professional purposes (e.g., classroom teaching, professional practice) on a single device, with the ability to share the device with other educators under a team-sharing license. Licenses are available for 1 year. ACADEMIC PRO EDU includes the ability to create and publish custom ePosters. . ACADEMIC PRO EDU includes a free Anatomyka ATLAS license and a 1-month Memorix Anatomy license.
2.3 School Licenses:
- Teacher License (ACADEMIC PRO EDU – Windows, macOS): For classroom or professional use, including ePoster sharing.
- Student Team Licenses (ATLAS – Windows, macOS, iOS, Android, ChromeOS, Huawei): For shared school devices (e.g., tablets), allowing multiple students to use the same device, with discounts up to 70% based on license volume and duration (up to 5 years).
- Student Individual Licenses (ATLAS)Windows, macOS, iOS, Android, ChromeOS, Huawei): For personal student use on a single device,with discounts up to 80% based on license volume and duration (up to 5 years).
2.4 Device Binding: Licenses are tied to a single device via your account on portal.anatomyka.com. You may deactivate and transfer the license to a new device in case of device failure.
2.5 Registration: Use of the Software requires registration on portal.anatomyka.com with a username and password.
2.6 License Usage Restrictions: The Software may be installed and activated only on a single computer associated with your account on portal.anatomyka.com. For clarity, Individual Licenses (ACADEMIC PRO and included ATLAS) are restricted to use by a single user on one (1) device only. Sharing the Software, account, username, or password with others, or installing the Software on more than one device, is expressly prohibited.
2.7 Internet Connection Requirement: The Software requires a continuous internet connection to verify the validity of your license and to prevent unauthorized use or tampering. While the connection may be of low bandwidth, an active internet connection is mandatory for the Software to function properly. You are responsible for ensuring a stable internet connection during use.
2.8 Single Product License: The Software, including its 3D models, textures, ePosters, and Memorix Anatomy content, is licensed as a single product. Its components may not be separated, extracted, or used independently for any purpose other than as expressly permitted by this EULA.
2.9 Output License: Licensor grants you a non-exclusive, royalty-free license to create, display, and share User-Generated ePosters generated with the Software for purposes permitted by your license type (e.g., Anatomyka ePosters for all users, Academic PRO EDU ePosters for sharing and publishing under Commercial Licenses). All ePosters must include attribution to Anatomyka where feasible. Commercial resale or distribution of ePosters requires prior written consent from Licensor (contact: info@anatomyka.com). Student ePosters may not be shared or published.
2.10 Patient Education License: For Commercial Licenses (ACADEMIC PRO EDU), you may use the Software to display anatomical models or ePosters during patient consultations for educational purposes only. Such use must not involve storing or transmitting any patient health information through the Software, and it does not constitute medical advice or diagnosis.
2.10 Additional Benefits: With the purchase of an Anatomyka ACADEMIC license (ACADEMIC PRO or ACADEMIC PRO EDU), you are granted free access to the ATLAS mobile application (available on Google Play, App Store, and Huawei AppGallery) for the duration of your ACADEMIC license. To use ATLAS, you must download it from the respective app store and log in using the same account credentials (username and password) created on portal.anatomyka.com. Additionally, you receive a one-month free trial of the Memorix application, subject to the same login requirements. These benefits are non-transferable, require a continuous internet connection for verification, and are subject to the terms of this EULA, including restrictions on sharing account credentials (Section 2.2) and intellectual property protections (Section 4).
3. Restrictions
3.1 You may not:
- Copy, modify, distribute, rent, lease, sublicense, or transfer the Software.
- Reverse engineer, decompile, or disassemble the Software, except as permitted by applicable law.
- Use ACADEMIC PRO and ATLAS for commercial purposes, including public sharing of screenshots or videos.
- Use ACADEMIC PRO , PRO EDU, ATLAS and ATLAS PRO EDU for resale or public distribution of screenshots or videos without prior written consent from Licensor (contact: info@anatomyka.com).
3.2 Individual Licenses (ACADEMIC PRO and included ATLAS): You may not share your account, username, password, or device with any other individual. Each license is strictly limited to use by a single user on a single device. Sharing accounts or devices is expressly prohibited.
3.3 School Team Licenses (ATLAS): These licenses permit multiple students to use the Software on shared school devices (e.g., tablets) purchased by the institution via invoice, as intended for educational purposes.
3.4 Any commercial or public use of screenshots or videos from the Software requires a separate license from Licensor.
3.5 Anti-Piracy Measures: You may not use any equipment, device, software, or other means to circumvent or bypass the Software’s license verification mechanisms, including the requirement for a continuous internet connection to validate the license. Unauthorized attempts to modify, disable, or defeat these protections are strictly prohibited and may result in immediate termination of your licens
3.6 Restrictions on Uploads: You may not upload or store presentations, ePosters, or any Software-generated content into learning management systems (LMS), online platforms, or third-party storage without prior written consent from Licensor, to prevent unauthorized distribution. Such uploads, if approved, must comply with the attribution requirements in Section 2.9 and may not include protected health information. Anatomyka ePosters and Academic PRO EDU ePosters are protected by copyright, and Student ePosters are restricted to personal use only.
4. Intellectual Property
4.1 The Software, including its 3D models, textures, Anatomyka ePosters (including content based on Memorix Anatomy descriptions), and accompanying content, is protected by copyright and other intellectual property laws. All rights not expressly granted in this EULA are reserved by Licensor.
4.2 Moral Rights Waiver: To the extent permitted by law, you waive any moral rights in modifications or content you create using the Software, allowing Licensor to use them without attribution for Software improvements.
4.3 DMCA Compliance (US Users): For users in the United States, if you believe your copyright has been infringed by content in the Software (e.g., user-generated ePosters), you may submit a notice under the Digital Millennium Copyright Act (DMCA) to info@anatomyka.com, including your signature, identification of the copyrighted work, location of the infringing material, and a statement of good faith belief. Licensor will act promptly to address valid DMCA notices.
5. Medical Disclaimer
5.1 The Software contains medically accurate information but is not a substitute for professional medical advice, diagnosis, or treatment. Always consult a qualified healthcare provider for medical concerns.
5.2 Software Limitations: The Software, including its 3D models, ePosters, and Memorix Anatomy content, is provided “as is” with no warranties of accuracy, completeness, or suitability for any specific medical or educational purpose. You acknowledge that the Software may not meet all your requirements or be free from errors, and Licensor is not liable for any decisions made based on the Software’s content.
5.3 Not a Medical Device: The Software is not intended as a medical device, diagnostic tool, or clinical decision support system. It is provided for educational purposes only, and Licensor disclaims any liability for its use in medical settings.
6. Data Collection
6.1 Your personal information (e.g., name, email, address) is collected and processed in accordance with our Privacy Policy (https://www.anatomyka.com/privacy-policy/). Payment-related data is handled by third-party providers (Stripe, PayPal).
6.2 Protection of Health Information: You must not use the Software to store, transmit, or process any protected health information or patient data. Licensor does not guarantee compliance with health privacy laws, and you are solely responsible for ensuring your use does not violate such regulations.
6.3 GDPR Compliance: For users in the European Union, your personal data (e.g., name, email, address) is processed in accordance with the General Data Protection Regulation (GDPR) (EU) 2016/679. Licensor acts as the data controller and processes your data for license verification, account management, and payment processing (via third-party providers like Stripe and PayPal). You have the right to access, rectify, erase, restrict processing, object to processing, or request data portability by contacting support@anatomyka.com. 6.4 Data Transfer Outside the EU: If you are located in the European Union, your use of the Software constitutes consent to the transfer of your personal data to the United States for processing by Licensor and its third-party providers (e.g., Stripe, PayPal). Licensor ensures that such transfers comply with GDPR requirements through appropriate safeguards, as outlined in our Privacy Policy at https://www.anatomyka.com/privacy-policy/.
6.5 Cloud Processing with AWS: The Software uses Amazon Web Services (AWS) to store and process data, including installation files (e.g., NSIS, .dmg) and ePoster metadata (e.g., for sharing or analytics). AWS complies with GDPR and applicable data protection laws through standard contractual clauses. You consent to such processing by using the Software.
6.6 Cookies for License Verification: The Software may use cookies or similar technologies to verify your license and track usage for security and analytics purposes. These cookies are stored on your device or our AWS servers and are subject to our Privacy Policy at https://www.anatomyka.com/privacy-policy/. You can manage cookie preferences through your device settings or by visiting our Cookie Policy at https://www.anatomyka.com/cookie-policy.
6.7 Children’s Data (COPPA Compliance): For users in the United States, the Software complies with the Children’s Online Privacy Protection Act (COPPA). We do not knowingly collect personal data from children under 13. If we become aware of such data, we will delete it immediately. Contact support@anatomyka.com for concerns.
7. Termination
7.1 This EULA is effective until terminated. Licensor may terminate your license if you breach any terms of this EULA, including the sharing of accounts or devices under Individual Licenses. Upon termination, you must cease all use of the Software and delete all copies.
7.2 Suspension for Suspected Misuse: If Licensor suspects misuse of the Software, such as unauthorized sharing of accounts, exceeding the single-device limit, or circumventing license verification, Licensor may suspend or deactivate your license remotely without prior notice, pending investigation. This does not preclude further legal action.
8. Subscription Cancellation and Renewal
8.1 No Refunds for Early Cancellation: If you cancel your subscription (e.g., ACADEMIC PRO 1-year license or ACADEMIC PRO EDU 1-year license) before the end of its term, no refunds will be provided for the remaining subscription period, except as required by applicable law.
8.2 Renewal Notification: For subscriptions with auto-renewal (e.g., ACADEMIC PRO 1-year license), Licensor will notify you via email 14 days prior to the renewal date, allowing you to manage or cancel your subscription through your account on portal.anatomyka.com.
9. Warranty and Liability
9.1 As-Is Basis: The Software is provided “as is,” without warranties of any kind, express or implied, including fitness for a particular purpose, except as required by applicable law.
9.2 Limitation of Liability: To the maximum extent permitted by law, Licensor is not liable for any indirect, incidental, or consequential damages arising from the use of the Software. For Users in the EU, this limitation does not apply to damages caused by intentional or grossly negligent conduct.
9.3 EU Consumer Rights: For Users in the EU, this EULA complies with Directive (EU) 2019/770 on digital content and does not limit your statutory rights (e.g., right to a functional product).
10. Governing Law
This EULA is governed by the laws of the State of Delaware, USA, with disputes resolved in the courts of New Castle County, Delaware, USA. For Users in the EU, this does not affect your mandatory consumer protection rights under EU or national law.

12. Indemnification
You agree to indemnify and hold harmless Licensor and its affiliates from any claims, losses, or damages arising from your use of the Software in violation of this EULA or applicable laws, including any third-party claims related to your generated content or patient interactions.
13. Miscellaneous
13.1 This EULA constitutes the entire agreement between you and Licensor regarding the Software.
13.2 Licensor may update this EULA at any time, with changes effective upon posting on anatomyka.com.
13.3 If any provision of this EULA is found to be unenforceable, the remaining provisions remain in effect.
